Terms of Service

Ringbinder.io, LLC — Effective Date: 8/8/2026

These Terms of Service (“Terms”) govern access to and use of the networking, proxy, hosting, and domain name registration services made available at ringbinder.io and any related applications or services (collectively, the “Service”), operated by Ringbinder.io, LLC, an Alabama limited liability company (“Ringbinder,” “we,” “us,” or “our”). By creating an account, accessing, or using the Service, you (“you” or “User”) agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of the Service

Ringbinder provides a consumer-facing networking platform that allows Users to route, proxy, and host services such as personal websites and game servers, along with related domain name registration and management functionality. The Service is offered on a freemium basis: certain features are available at no cost, and additional capacity, performance, or functionality is available through paid upgrade tiers described at checkout. Ringbinder may add, modify, or discontinue features of the Service at any time.

2. Eligibility and Accounts

You must be at least 13 years old to create an account. If you are between 13 and the age of majority in your jurisdiction, you may only use the Service under the supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf. Ringbinder does not knowingly permit account creation by children under 13; see our Privacy Policy for additional detail regarding age screening.

You are responsible for maintaining the confidentiality of your account credentials, including credentials associated with any third-party or social login provider used to authenticate to the Service, and for all activity that occurs under your account. You must provide accurate registration information and promptly update it if it changes. You are responsible for all traffic, content, and activity routed, transmitted, or hosted through your account, whether or not you personally initiated it.

3. Domain Name Registration Services

Where the Service includes domain name registration or resale functionality, domain registrations are processed through Ringbinder’s accredited domain registrar partner. Ringbinder acts as a reseller and intermediary for these registrations and is not itself an ICANN-accredited registrar unless separately stated. Domain registrations are additionally governed by the registrant agreement and dispute resolution policies of the underlying registrar and by ICANN’s Uniform Domain-Name Dispute-Resolution Policy (UDRP), which are incorporated into these Terms by reference for any domain-related transaction. You are solely responsible for renewing domains before expiration; Ringbinder is not liable for the loss of a domain due to non-renewal, though we will make commercially reasonable efforts to provide renewal notices.

You represent that any domain name you register or transfer through the Service does not infringe the trademark, trade name, or other intellectual property rights of any third party, and you agree to indemnify Ringbinder for claims arising from domain registrations you submit.

4. Acceptable Use Policy

Because the Service functions as a network conduit for third-party traffic and content, the following restrictions apply to all use of the Service and are a material part of these Terms. You agree not to use the Service to:

  • Transmit, route, proxy, host, or store content that is unlawful, infringing, defamatory, obscene, or that violates the rights of any third party;
  • Circumvent geographic restrictions, licensing terms, or access controls of a third-party service in a manner that violates that third party’s terms of service or applicable law;
  • Engage in traffic manipulation, click fraud, denial-of-service attacks, port scanning, credential stuffing, or other abusive network activity directed at Ringbinder’s infrastructure or any third-party system;
  • Use the Service to distribute malware, conduct phishing, or engage in unauthorized access to computer systems;
  • Resell or sublicense access to the Service in a manner not expressly authorized in writing by Ringbinder;
  • Engage in conduct that violates the published network abuse, security, or acceptable use policies of Ringbinder’s underlying infrastructure providers (including but not limited to content-delivery, hosting, and authentication providers), as those third-party policies may be updated from time to time and as referenced at ringbinder.io/legal/provider-policies; or
  • Interfere with, disrupt, or place undue burden on the Service or the networks or servers connected to the Service.

Ringbinder reserves the right to investigate suspected violations of this Acceptable Use Policy, to suspend or throttle traffic associated with a suspected violation pending investigation, and to remove content or terminate accounts responsible for confirmed violations, in each case without liability to you. Because Ringbinder acts as an intermediary for third-party traffic, this Acceptable Use Policy and Ringbinder’s response procedures are a central part of how Ringbinder qualifies for certain intermediary liability protections; you agree that Ringbinder’s enforcement of this section is not a waiver of any other right or remedy. The specific prohibitions enumerated above are the primary basis on which Ringbinder enforces this Acceptable Use Policy; the reference to infrastructure providers’ own policies is a supplemental backstop for conduct a reasonable operator in Ringbinder’s position would recognize as network abuse, not a substitute for the enumerated list, and Ringbinder will maintain the current links referenced above at a Ringbinder-controlled page rather than relying on the underlying providers’ URLs directly, so the reference does not go stale or point somewhere outside Ringbinder’s control.

5. Fees, Subscriptions, and Payment

Free-tier access to the Service is provided subject to the usage limits described on the Ringbinder pricing page, which may change from time to time. Paid upgrade tiers are billed on the cycle selected at checkout (monthly or annual, as applicable) through Ringbinder’s third-party payment processor. By upgrading, you authorize recurring charges to your payment method until you downgrade or cancel.

Upon downgrade from a paid tier, Ringbinder may reduce, suspend, or delete resources, data, or configurations that exceed free-tier limits, following notice where practicable. Fees are non-refundable except as required by law or as separately stated at the time of purchase. Ringbinder may change its fees prospectively upon notice; continued use after a fee change takes effect constitutes acceptance of the new fees.

Account Credit Balance

In addition to the subscription tiers described above, Ringbinder may permit a User to fund a prepaid account balance (“Credits”) that is applied against usage-based charges, such as bandwidth consumption, as they are actually incurred, rather than by charging the User’s payment method for each transaction. Credits have no cash value, are not redeemable for cash or any cash equivalent, are non-transferable to any other User or account, and are non-refundable except as required by law. Credits may be used only to pay for usage of the Service and may not be sold, gifted, or exchanged. Unused Credits do not expire except as separately disclosed at the time of purchase or as required by applicable unclaimed-property law. Ringbinder may change the rate at which Credits are consumed for a given resource upon notice, and may limit, suspend, or discontinue the Credit feature at any time; any unused Credit balance at the time of discontinuation will be refunded to the payment method on file.

6. Third-Party Infrastructure and Services

The Service is built in part on third-party infrastructure and platform providers, which may include content-delivery and network security providers, data-center and hardware infrastructure providers, and authentication and identity providers. Your use of the Service is also subject to the extent applicable to any acceptable use restrictions those providers impose on traffic passing through their networks. Ringbinder is not responsible for outages, data loss, or service interruptions caused by a third-party infrastructure provider, though Ringbinder will use commercially reasonable efforts to maintain Service availability and to select reputable providers.

7. Intellectual Property

Ringbinder retains all right, title, and interest in and to the Service, including its software, branding, and documentation, excluding any content, data, or configurations you submit or generate (“User Content”). You retain ownership of your User Content. By transmitting or hosting User Content through the Service, you grant Ringbinder a limited, non-exclusive license to store, cache, transmit, and route that content solely as necessary to operate and provide the Service to you.

Ringbinder responds to notices of alleged copyright infringement in accordance with the Digital Millennium Copyright Act. The full procedure for submitting a takedown notice or counter-notification, and the contact information for Ringbinder’s designated DMCA agent, is set out in Ringbinder’s separate DMCA Safe Harbor Takedown Policy, which is incorporated into these Terms by reference and available at ringbinder.io/dmca.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. RINGBINDER DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY CONTENT ROUTED THROUGH THE SERVICE BY A THIRD PARTY IS ACCURATE, LAWFUL, OR SAFE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RINGBINDER AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. RINGBINDER’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID RINGBINDER IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) FIFTY DOLLARS ($50).

11. Indemnification

You agree to indemnify, defend, and hold harmless Ringbinder and its officers, members, and employees from any claim, liability, damage, or expense (including reasonable attorneys’ fees) arising from your use of the Service, your User Content, your violation of the Acceptable Use Policy, or your violation of any third party’s rights, including through content or traffic you route, transmit, or host through the Service.

12. Termination

You may terminate your account at any time through your account settings. Ringbinder may suspend or terminate your access to the Service, with or without notice, for violation of these Terms, non-payment, suspected fraud or abuse, or a legal or regulatory requirement. Upon termination, your right to use the Service ceases immediately; Ringbinder may delete account data following termination in accordance with its data retention practices described in the Privacy Policy.

13. Dispute Resolution and Arbitration Agreement

Ringbinder and you agree to first attempt to resolve any dispute arising out of or relating to these Terms or the Service informally by contacting each other in writing and engaging in good-faith negotiations for at least thirty (30) days.

If the dispute is not resolved informally, you and Ringbinder agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small claims court if it qualifies. THIS SECTION INCLUDES A WAIVER OF ANY RIGHT TO A JURY TRIAL AND A WAIVER OF ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. Arbitration will take place in, or be conducted by written submission and telephone with the arbitrator located in, Madison County, Alabama, unless you and Ringbinder agree otherwise.

14. Governing Law and Venue

These Terms are governed by the laws of the State of Alabama, without regard to its conflict-of-laws principles, except to the extent preempted by federal law (including the Federal Arbitration Act and the Digital Millennium Copyright Act). For any matter not subject to arbitration under Section 13, the state and federal courts located in Madison County, Alabama will have exclusive jurisdiction, and you consent to personal jurisdiction and venue there.

15. Changes to These Terms

Ringbinder may revise these Terms from time to time. Material changes will be posted to the Service with an updated effective date, and, where required by law, notice will be provided by additional means such as email. Continued use of the Service after a revised version takes effect constitutes acceptance of the revised Terms.

16. Miscellaneous

If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect. Ringbinder’s failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without Ringbinder’s prior written consent; Ringbinder may assign these Terms in connection with a merger, acquisition, or sale of assets. These Terms, together with the Privacy Policy and DMCA Safe Harbor Takedown Policy, constitute the entire agreement between you and Ringbinder regarding the Service.

17. Contact

Questions about these Terms may be directed to Ringbinder.io, LLC at the contact information posted on the Service.
